The Thomson Reuters Board of Directors has three committees – audit, corporate governance and human resources. Charters for each committee are provided below.
Audit Committee
Responsible for assisting the Board in fulfilling its oversight responsibilities in relation to:
- the integrity of our financial statements,
- our compliance with legal and regulatory requirements,
- the qualifications and independence of our independent auditor, and
- the performance of our internal audit function and independent auditor.
Corporate Governance Committee
Responsible for assisting the Board in fulfilling its oversight responsibilities in relation to:
- the size, composition and structure of the Board and its committees, including the nomination of directors,
- our overall approach to corporate governance, related party transactions and other matters involving conflicts of interest,
- the orientation and continuing education for directors, and
- director compensation
Human Resources Committee
Responsible for assisting the Board in fulfilling its oversight responsibilities in relation to:
- the selection and retention of senior management,
- the compensation of senior management,
- professional development for senior management, and
- the management of pension and benefit plans for employees.
