Regulatory Filings

Below, you can access Thomson filings and submissions to the SEC. Although Thomson is headquartered in Stamford, Connecticut, it is a Canadian company and considered a "foreign private issuer" for SEC purposes. Thus, Thomson makes filings and submissions to the SEC using forms under MJDS (the Canada-US Multijurisdictional Disclosure System). MJDS permits Thomson to file its annual report on Form 40-F. During the rest of the year, Thomson meets its SEC continuous disclosure requirements by furnishing under cover of Form 6-K all other information material to an investment decision that it makes public in Canada, files with the NYSE or TSX, or distributes to its shareholders. Information filed under cover of Form 6-K includes material press releases, quarterly reports containing MD&A and financial statements, and proxy materials related to shareholder meetings.

SEDAR, or the System for Electronic Document Analysis and Retrieval, is a repository of regulatory documents that includes Thomson public filings with the Canadian securities regulatory authorities. Click here to visit the SEDAR website.

Thomson directors and certain of its officers file insider reports in Canada, and are exempted from filing insider reports with the SEC on Forms 3, 4 and 5. To access Thomson insider reports filed in Canada, please click here.
