Complete a company formation project: section 2 Corporate Details

Before you start
Before starting a company formation project, you will need to set up the prospective company as a client, then add a company formation project to it.
The company formation project wizard has six sections. Section 2 is about Corporate Details.
Registered Office
- Check that theAddressdisplayed is the registered office address of the proposed company.
- Check that 'Registered Office' is displayed in theAddressdrop-down list.
- If theAddressis incorrect or 'Registered Office' is not displayed, carry out the following steps to edit the address.Read more about editing a registered address.
- SelectEdit Address List.
- In the Client screen, edit the address which is to be the Registered Office, or selectAdd Another Addressto create it.
- Make sure that you have selected Registered Office from theUse forlist for the correct office.
- SelectSave & Close.
- Check that there is an email address displayed in the Registered Email Address dropdown list.
- If the Registered Email Address is incorrect or missing, carry out the following steps to edit the email address.Read more about editing an email address.
- SelectEdit Email Address List.
- In the Client screen, edit the email address that is to be the Registered Email Address, or selectAdd Another Email Addressto create it.
- You may wish to set the email addressTypeto 'Other' and then eneter the description 'Registered Email Address' next to it, for the record.
- SelectSave & Close.
- Make sure the email eddress you added or edited is selected in theRegistered Email Addressdropdown list.
- SelectNext.
Share Capital
- Make sure that the Share Capital table includes the correct details, if any.
- If any details of a share class are missing, selectAddto enter the details.
- If any details of a share class are wrong, selectEditin the Actions column to change them. Enter the correct details, then selectSave & Close.
- Select Next.
Articles of Association
- Choose from Model articles – Companies Act 2006, Model articles – Companies Act 2006 amended, or Bespoke articles.
- If the company will have amended or bespoke articles, carry out the following steps to upload articles.Read more about uploading articles.
- If the amendments to articles or bespoke articles have already been uploaded, select the checkbox next to its name. If not, selectNew Upload.
- The Client Documents tab of Onvio Centre opens in a new window. SelectUpload.
- Double-click on the PDF file containing the amended/bespoke articles.
- Close the Onvio Centre.
- Back in the Articles of Association section of Tab 2, selectRefresh.
- Select the checkbox next to the name of your newly uploaded PDF.
- Select theRestrictedcheckbox if the amended or bespoke articles contain provision for entrenchment.
- SelectNext.
Business Activities
- Select the YES toggle when the subscribers have confirmed that they wish to form the company for lawful purposes. The confirmation must be given before the company can be formed.
- Choose the standard industrial classification of industrial activities code(s) (SIC Code(s)) from the drop-down list that most closely describes the principal activity or activities of the proposed company.
- After choosing the first SIC Code, you can selectAdd a SIC Codeto choose up to a further three Codes.
- SelectNext.
