Use CoCounsel Drafting for contract review

Follow these steps to use a playbook to compare to your document.
  1. Open the contract you need to review in Word, then select the arrow button in the CoCounsel Drafting pane to open the menu.

  2. Make sure you have selected
    Transactional
    as the practice area. If you need to change the practice area:
    1. Select the
      Change
      link in the
      Practice area
      section.
    2. Select
      Transactional
      from the dropdown, then select
      Save
      .
  3. Select the
    Compare to playbooks
    option in the
    Review your work
    section.
  4. Select a playbook:
    • Filter between custom playbooks or Practical Law pre-built playbooks.
    • Enter a keyword or phrase in the search field to find a specific playbook.
  5. Select
    Compare
    in the services agreement description.

    CoCounsel reviews your document and identifies key legal clauses that align with your playbook.
  6. Select the
    Playbook
    tab to view a table of contents listing each clause. Clauses are flagged to indicate whether they are missing, have issues, or are acceptable.
  7. Select the
    Issues
    tab to review a list of identified issues categorized into
    high risk issues
    ,
    major issues
    , and
    minor issues
    .
  8. Select a clause to review its details. You can switch between the
    Redlines
    and
    Guidance
    tabs.
  9. For
    high risk issues
    , you can insert a missing clause using the
    Redlines
    tab.
    1. To do so, place your cursor at the location you want and select
      Insert at cursor
      .
    2. Alternatively, select the copy icon to copy the text to your clipboard.
  10. For major issues, select the
    Scroll to text
    to locate the issue within your document.
    1. Select
      Accept
      to insert the AI assisted redline clause. The redlined language appears in the clause section.
    2. Use Microsoft Word's Track Changes feature to accept or reject changes.
  11. For minor issues, review the summary and choose whether to accept the redlined clause version.
    1. Select a clause to review, CoCounsel will scroll to the location of the clause in the document.
    2. If an issue is present, you'll see a summary of the issue and suggested redlines, which you can accept and insert into your document.
    3. In the
      Negotiation guidance
      section, the preferred clause example can be inserted at cursor.
    4. You may also view scenarios and additional guidance for escalations.
