About transactional drafting

The Transactional Drafting Agent combines trusted Practical Law content with advanced AI to help you create review-ready contract drafts grounded in current market practice. This feature is available in the new version of CoCounsel Legal.
The new Transactional Drafting Agent in CoCounsel for Microsoft Word is built for transactional legal work. It is not designed for litigation or court-related work. It is grounded in Practical Law and is part of the broader Thomson Reuters CoCounsel Legal, the only legal AI that combines trusted Practical Law content with advanced AI and your organization's own knowledge in a single integrated experience.
For drafting, Practical Law's how-to guidance informs the draft as it's built so every section starts from an authoritative source. When answering, the agent relies on the user's open document and Practical Law. If it can't verify an answer from these sources, it doesn’t answer, so it never makes things up. The result is drafts that are review-ready, not rewrite-ready.

Turn on transactional drafting

To begin using the new transactional drafting experience:
  1. Open Microsoft Word and sign in to CoCounsel for Microsoft Word.
  2. Select the
    New Transactional Drafting
    switch.

You can switch between the new experience and the existing features at any time.

Control how edits are applied

The
Auto-apply edits
setting controls whether the Transactional Drafting Agent writes changes directly into your document as tracked changes or presents them for your approval first.
  • On (default):
    The Transactional Drafting Agent automatically creates tracked changes. You accept or reject them using the standard track changes feature in Microsoft Word.
  • Off:
    The Transactional Drafting Agent presents proposed changes and waits for your approval before editing the document.

Use the chat

The Transactional Drafting Agent uses a chat experience where you enter natural language prompts to tell CoCounsel Legal what you need. CoCounsel Legal determines which tools to use and completes the task.
You can also select a portion of the document and CoCounsel Legal will recognize what you have selected. For example, you can select a section and enter:
Update this section to 30 days after execution.
Suggested actions are available in the chat to help you get started, such as summarizing the document, identifying key terms, and resolving comments.

Review the reasoning in CoCounsel Legal

CoCounsel Legal shows its reasoning while it processes your request and after it returns results. Select the expandable section in the chat to review its interpretation of your request and the steps it followed.

Work with playbooks

The Transactional Drafting Agent has access to all playbooks available to you, including custom playbooks and Practical Law playbooks. To view your available playbooks, enter:
What playbooks do I have access to?
CoCounsel Legal can perform the following playbook tasks:
  • Identify the most relevant playbook for your document. If multiple playbooks apply, CoCounsel Legal presents the options for you to choose from.
  • Review your document against a playbook and provide a conformance and deviation summary.
  • Retrieve clause language from a playbook and insert it into your agreement.
  • Perform thorough reviews and add new sections from a playbook.
  • Note provisions from the document that the playbook doesn't address.
To add or manage playbooks, turn off the
New Transactional Drafting
experience to return to the existing CoCounsel for Microsoft Word features.
